Reading Assessment Toolkit License Agreement

Effective Date: May 18, 2026

This License Agreement (“Agreement”) is entered into between Simply Learn, LLC d.b.a. Simply Soar Reading (“Company,” “we,” “our,” or “us”) and the purchaser (“User,” “you,” or “your”) upon purchase or access of the Reading Assessment Toolkit (“Materials”).

By purchasing, downloading, accessing, or using these Materials, you agree to the terms outlined below.

1. Grant of License

Your purchase grants you a limited, non-exclusive, non-transferable license to use the Reading Assessment Toolkit for personal educational use.

Permitted uses include:

Parents or guardians using the Materials with their own children

Homeschool families using the Materials within their household

Individual tutors or educators using the Materials with their own students

This license is intended for use by:

one household, OR

one individual instructor/tutor

2. Permitted Use

You may:

Download and print the Materials for your own instructional use

Reprint pages as needed for your own students or children within your license terms

Use the Materials in person or online with your own students

3. Prohibited Uses

You may NOT:

Share, email, forward, or distribute the files to others

Upload the Materials to shared drives, websites, social media, online folders, membership sites, or public platforms

Allow multiple instructors, tutors, classrooms, schools, centers, or organizations to use a single purchase

Copy, reproduce, modify, sell, sublicense, or redistribute the Materials

Claim the Materials as your own work

Use the Materials to create competing products or derivative products for resale

Unauthorized sharing or distribution is strictly prohibited.

4. Multi-User & Organization Licensing

This purchase does NOT include:

school-wide licensing

tutoring center licensing

multi-classroom licensing

organization-wide usage rights

If multiple instructors or staff members will use these Materials, a separate organizational license is required.

5. Intellectual Property

All content, assessments, graphics, activities, text, instructional methods, layouts, branding, and downloadable materials included in the Reading Assessment Toolkit are the intellectual property of Simply Learn, LLC d.b.a. Simply Soar Reading and are protected by United States copyright and intellectual property laws.

Purchasing this product does not transfer ownership of the Materials.

All rights remain reserved by Simply Learn, LLC.

6. Digital Product & Refund Policy

Due to the digital nature of this product and immediate access to downloadable intellectual property, all sales are final and non-refundable.

7. Educational Disclaimer

The Reading Assessment Toolkit is intended for educational and informational purposes only.

Simply Learn, LLC does not guarantee specific educational outcomes, academic performance results, or student progress from use of the Materials.

8. Limitation of Liability

To the fullest extent permitted by law, Simply Learn, LLC shall not be liable for any indirect, incidental, consequential, or special damages arising from the use or inability to use the Materials.

9. Termination of License

This license may be revoked without refund if the User violates any portion of this Agreement, including unauthorized sharing, distribution, reproduction, or misuse of the Materials.

Upon termination, the User must discontinue use of the Materials and destroy all downloaded or printed copies.

10. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of South Carolina, without regard to conflict of law principles.

11. Acceptance of Terms

By purchasing, downloading, accessing, or using the Reading Assessment Toolkit, you acknowledge that you have read, understood, and agreed to this License Agreement.
