Simply Learn, LLC
d.b.a. Simply Soar Reading

Licensee

The individual purchaser of Simply Soar Reading Essentials.

Grant of License

Upon purchase, Simply Learn, LLC grants the Licensee a non-exclusive, non-transferable license to use the Simply Soar Reading Essentials materials and video library for personal educational use.

This license allows the Licensee to:

• Use the materials within a single household, or
• Use the materials as an individual tutor working with up to five (5) students total

The purchase of Simply Soar Reading Essentials grants permission to use the materials and access the video library, but does not transfer ownership of the intellectual property.

All rights remain the property of Simply Learn, LLC.

Permitted Use

The Licensee may:

• Print student materials for use with licensed students
• Use the materials for in-person or virtual instruction
• Access and view the video lesson library for personal instructional use
• Use the videos to support their own teaching and understanding of the program
• Store digital files for personal instructional use

Video Library Access

The Essentials tier includes access to a private video lesson library designed to support implementation of Simply Soar Reading.

The Licensee may:

• Stream and view videos for personal use
• Use videos to guide instruction with licensed students

The Licensee may not:

• Download (unless explicitly permitted), record, or reproduce video content
• Share login access with others
• Distribute, post, or upload video content to any platform
• Use videos to train other educators, tutors, or groups

Access to the video library is tied to the original purchaser and may be suspended or revoked if misuse or unauthorized sharing is detected.

Restrictions

The Licensee may not:

• Use the materials with more than five (5) students under this license
• Use the materials within tutoring centers, schools, microschools, organizations, or multi-instructor settings
• Share digital files or video access with other individuals
• Upload materials or videos to shared drives or public or private platforms
• Resell, sublicense, redistribute, or claim authorship of the materials or videos

Use of Simply Soar Reading beyond five students or within an educational organization requires a Professional License.

Intellectual Property

All Simply Soar Reading materials—including but not limited to curriculum content, instructional methods, assessments, student activities, graphics, guides, and video content—are protected under United States copyright law.

Unauthorized reproduction, sharing, or distribution is strictly prohibited.

All intellectual property remains the exclusive property of Simply Learn, LLC.

No Refund Policy

Due to the digital nature of the materials and immediate access to intellectual property and video content, all purchases are final and non-refundable.

Governing Law

This Agreement shall be governed by the laws of the State of South Carolina.

Acceptance of Agreement

By purchasing or using Simply Soar Reading Essentials, the Licensee acknowledges that they have read, understood, and agreed to the terms of this License Agreement.
