Simply Soar Professional License Agreement

Licensor: Simply Learn, LLC d.b.a. Simply Soar Reading™
Licensee: Purchasing individual or organization


1. Grant of License

Simply Learn, LLC grants the Licensee a non-exclusive, non-transferable, revocable license to use the Simply Soar Reading™ Professional System for instructional purposes.

This license permits use of the materials:

• within the Licensee’s tutoring center or educational organization
• by authorized staff members working within that organization
• with multiple students under that organization

The license does not grant ownership of the materials.

All intellectual property remains the property of Simply Learn, LLC.


2. Organizational License (Important)

This Professional License is granted to the purchasing organization, not to individual tutors or employees.

Authorized tutors may use the Simply Soar Reading™ materials only while actively employed or contracted by the licensed organization.

The license does not transfer to individual tutors.


3. Tutor Departure Clause (Critical Protection)

If an instructor, tutor, or contractor who has been using the Simply Soar Reading™ materials leaves the licensed organization, that individual:

• may not continue using the materials independently
• may
not retain copies of the curriculum
• may
not reproduce the instructional system in another tutoring practice
• must obtain their
own Professional License from Simply Soar Reading™ in order to continue using the system

The licensed organization is responsible for ensuring that departing tutors do not retain copies of materials.


4. Multi-Location Use

This license applies to one tutoring center or educational location.

Organizations operating multiple locations must obtain a separate license for each location, unless otherwise agreed upon in writing.


5. Restrictions

The Licensee may not:

• Share materials outside the licensed organization
• Upload curriculum to shared online drives accessible outside the organization
• Sell or redistribute the curriculum
• Claim authorship of the curriculum
• Provide instructor materials to parents or other organizations
• Create derivative curriculum for sale


6. Intellectual Property

All Simply Soar Reading™ materials—including but not limited to:

• instructional methods
• assessments
• student activities
• instructor guides
• graphics and layout
• training materials

are protected by United States copyright law.

Unauthorized distribution or duplication is strictly prohibited.


7. Digital Security

Digital materials must be stored in secure systems accessible only to authorized staff within the licensed organization.

Materials may not be posted publicly online or made downloadable.


8. Membership and Updates

Curriculum updates, community access, coaching, or office hours are offered through the Simply Soar Professional Membership.

These services require a separate annual membership.


9. No Refund Policy

Due to the digital nature of the curriculum and immediate access to intellectual property, all purchases are final and non-refundable.


10. Governing Law

This Agreement shall be governed by the laws of the State of South Carolina.


11. Acceptance

By purchasing or using the Simply Soar Reading™ Professional System, the Licensee agrees to the terms of this Agreement.
